A teaming agreement is the contract a prime and a subcontractor sign before a government bid is even submitted, long before anyone has won anything.
The danger is signing one that does not actually bind. A Virginia Supreme Court case made it concrete: the agreement promised a 41% workshare, the prime won, and then offered only 22% in subcontract negotiations. The court sided with the prime, because the subcontract depended on future good-faith negotiation. A number on paper is not a contract.
Make the agreement specific. Attach the essential subcontract terms and pricing as an exhibit before you sign.
