Your due diligence checklist is lying to you. ⚠️

"Licenses up to date? Data in the cloud? Disaster recovery in place?" Every target company ticks yes. The box gets checked, the deal moves forward - and you learn nothing about what you're actually buying.

Because a compliance checklist can't tell you if their codebase is a house of cards. It won't flag the one developer holding all the passwords. It won't show you the six-figure integration nightmare waiting for you on day one of the merger.

That's not due diligence. That's a favour to the seller.

Undocumented tech debt doesn't show up on a balance sheet, but it's still a liability - and if you don't expose it before the term sheet is signed, you're overpaying for the business.

Most AI conversations start with the wrong question.

Not "what should we build?" but "how much data do we have?" That's backwards. Volume was never the differentiator.

The businesses actually getting value from AI aren't the ones with the most data. They're the ones with data they can trust: accurate, structured, accessible, and governed on an ongoing basis, not cleaned up once and left to decay.

McKinsey's research backs this up: most organisations use AI in some form, but only around a third have managed to scale it past pilots. The gap isn't the model. It's what's underneath it.
