🌐In the evolution of technology platforms, there is a strategic difference between diversifying a business portfolio and integrating capabilities that can strengthen one another.

The first expands the offering. The second creates the potential to build competitive advantages through the connections between infrastructure, expertise, commercial relationships, and technology.

This distinction is fundamental to understanding the vision behind the 360° technology ecosystem IQSTEL seeks to develop.

Telecommunications infrastructure provides a foundation upon which new solutions in digital content, fintech, artificial intelligence, and cybersecurity can be introduced. However, the strategic value lies not simply in adding these verticals, but in exploring how they can leverage existing capabilities to reach the market, complement the offering, and create new monetization opportunities.

When infrastructure facilitates distribution, commercial relationships connect solutions with new markets, and technology addresses concrete needs, the opportunity emerges to build a broader value proposition.

This approach also invites a different way of evaluating business diversification. The question should not be limited to which new businesses are added, but rather which synergies can be developed, which efficiencies can be achieved, and what additional value can be created for customers and strategic partners.

Naturally, these opportunities require disciplined ex*****on, operational integration, and commercial validation. Potential synergies become competitive advantages only when they translate into measurable results.

▶️In this context, the challenge of a 360° technology ecosystem is to transform an existing foundation of infrastructure and commercial relationships into a platform capable of enabling complementary solutions, expanding market opportunities, and developing additional sources of value.

🌐 Telecom operators expanding their offering beyond connectivity are finding that the maturity of their partnerships is what most accelerates each new service's path to market. A McKinsey study of more than 3,000 business decision-makers sizes the opportunity: close to 80% believe their operator is well placed to support them with digital solutions.

In practice, launch time is concentrated in technical integration with the network and in connecting to the partner's billing and settlement systems, work that often takes months. That is why operators increasingly value bringing new services in through relationships already embedded in their day-to-day operations.

As a B2B telecom and digital distribution platform, IQSTEL has built relationships of this kind over nearly two decades, strengthened by daily voice and messaging traffic. Through those same relationships, the IQSTEL group of companies makes digital content, fintech, AI agents and cybersecurity available to each operator, to integrate into its offering at the pace its users set.

For shareholders, this commercial infrastructure is the asset on which higher-margin services grow, and with them, the quality of the company's earnings.

▶️ Trust built year after year in daily operations enables IQSTEL to support each customer in adopting new services with the agility its market demands, and to sustain higher-value growth shared with its partners and shareholders.

🌐 IQSTEL (NASDAQ: IQST) enters its next stage with three management priorities that guide the work of the entire group, each one building on the last.

📌 The three priorities for the next stage:

1️⃣ Global reach. The group's existing commercial footprint is joined by the acquisition in progress in West Africa, which opens the way to Nigeria, Côte d'Ivoire, Ghana, Burkina Faso, Mali and Senegal.

2️⃣ Margin. The targeted adjusted EBITDA run rate advances in stages from $2.7 million today: $4 million through organic growth, approximately $9 million expected with the acquisition, and $15 million with Digital Services.

3️⃣ Scale. The 2026 organic revenue forecast stands at $430 million, and the FY2027 forecast at $1 billion.

The sequence follows a clear business logic. The scale arriving from West Africa extends the network through which services are distributed, and digital services lift margin as they grow. That is why EBITDA advances step by step, and each step has an identifiable source, giving visibility to margin growth.

For operators, this stage means more value for every subscriber. Through the IQSTEL group companies, they can add microdramas, AI agents, gift cards and cybersecurity to their offering, services that enrich their users' experience and strengthen a relationship built on trust.

▶️ Reach, margin and scale are advancing today in coordination, and that shared plan is the foundation on which IQSTEL creates long-term value while connecting the world's operators with high-value digital innovation.

🌐 IQSTEL Closes Two-Year Non-Convertible Financing for Ultranet, a Profitable $131 Million-Revenue West African Telecom Platform Expected to Make IQSTEL Cash-Flow Positive on a Consolidated Basis.

📌 IQSTEL Inc. (NASDAQ: IQST) today announced that it has closed the first financing tranche for its planned acquisition of a 51% controlling interest in Ultranet Telecom Group ("Ultranet"). The financing consists of two-year senior secured, non-convertible promissory notes of up to $3 million.

"We funded this step with two-year non-convertible debt, so shareholders are not taking on conversion dilution to move Ultranet forward," said Leandro Iglesias, CEO of IQSTEL. "Ultranet gives us profitable scale in six fast-growing West African markets. Ultranet builds the base, and Digital Services, starting with our microdrama, builds the margin."

📌 Ultranet: profitable scale in West Africa

Headquartered in Accra, Ghana, Ultranet provides international telecom and messaging services across six West African markets, supported by exclusive international SMS gateway agreements with African mobile operators.

🔹 Markets: Nigeria, Côte d'Ivoire, Ghana, Burkina Faso, Mali and Senegal
🔹 2025 revenue grew 30% to $130.9 million from $100.9 million in 2024
🔹 $5.0 million in EBITDA
🔹 $4.6 million in net income
🔹 $5.5 million in cash flow from operations

IQSTEL expects Ultranet to bring the Company to approximately $9 million in annualized adjusted EBITDA and to make it cash-flow positive on a consolidated basis. IQSTEL also sees room to grow by offering its Digital Services to Ultranet's operator customers.

📌 Digital Services: microdramas as the first recurring-revenue product

IQSTEL Digital's first consumer subscription product is a microdrama service built with IDILIO TV, a Colombian platform for short, vertical, Spanish-language serialized dramas.

🔹 The service is sold through mobile operators and billed on the customer's phone bill.
🔹 IQSTEL Digital is in commercial outreach with seven mobile operators serving approximately 93 million subscribers.
🔹 2027 operating objective: 300,000 active paid monthly subscriptions.

📌 Financing and timeline

🔹 The two-year notes are secured and cannot be converted into shares.
🔹 IQSTEL expects the principal payments to be funded by the Company's expected positive cash flow following the acquisition.
🔹 The Company expects to execute the Share Purchase Agreement in November 2026 and is targeting closing in the middle of the first quarter of 2027, subject to customary closing conditions.

🌐 Banks, fintechs and digital platforms rely on A2P messaging to verify identities, confirm account changes and alert customers to fraud. When that message fails to arrive, what is at stake is customer trust.

In this market, the deciding variable is the route. Direct routes, backed by agreements with operators, offer the highest delivery reliability. Grey routes cut costs, but sacrifice delivery and security.

QGlobal SMS, part of the IQSTEL team, has built its model around that variable:

📌 More than 250 premium SMS interconnections, including direct links to major mobile network operators.

📌 Routes across the USA, Europe, Africa, Asia and Latin America.

📌 Teams in Spain, Mexico, India, Pakistan, Armenia, Kenya and Venezuela.

For IQSTEL, this business is part of the foundation: direct relationships with operators are the same platform on which the company now scales higher-margin digital services.

➡️ When a message protects a transaction, choosing the route stops being a cost decision and becomes a trust decision. That is the standard QGlobal SMS operates by.

🌐 An AI agent talks to customers, books appointments, transfers calls and queries internal systems, choosing the next step in every conversation. Each of those actions is a door worth protecting.

That is why Reality Border's agents, part of the IQSTEL team, operate behind ARx, the cybersecurity platform of Cycurion, IQSTEL's strategic partner. Airweb.ai on the web and IQ2Call.ai on voice are protected by four layers of defense: geo-gating, application and API security, malicious bot detection and AI-driven behavioral analysis. On top of that sits a blocklist of more than 13 million malicious IP addresses, updated in real time.

Every action an agent takes is logged: which tool it used, with what data and with what outcome. And every permission is scoped to what the task requires.

For an enterprise or an operator, the result is AI that works under control: 24/7 intelligent service, with escalation to specialists when needed and within defined rules, a core requirement in regulated industries and telecommunications.

This is how IQSTEL Digital moves forward: artificial intelligence and cybersecurity as two layers of a single offering for every partner.

▶️ An agent that decides needs clear boundaries. That is where trust begins.
Intelligence that acts. Security that responds.

🌐 Over nearly two decades, IQSTEL has built a network of relationships with more than 600 operators across 24 countries. Today, that network is also a distribution channel for digital services.

The foundation is solid: the company operates at an annualized run rate of $450 million, with a capital structure free of convertible notes and warrants.

What makes distribution possible is already in place: technical agreements with each operator, connectivity with their billing systems, commercial trust built over years, and potential access to 2.3 billion end users through those operators.

Through that channel, IQSTEL Digital offers fintech, artificial intelligence, cybersecurity and digital content. Each operator accesses this portfolio through the same technical and commercial relationship it already has with IQSTEL, adding new revenue streams with its own customers.

For IQSTEL, the progress of digital services defines the focus of this stage: EBITDA expansion.

▶️ When each party contributes what it does best, growth is shared.

🌐 IQSTEL's next phase is measured in profitability. With a network that already connects 600 of the world's largest telecom operators, the focus is on expanding EBITDA through high-margin digital services.

The starting point is an EBITDA-positive base: today, the adjusted EBITDA run rate across Telecom and Digital Services stands at $2.7 million. Management's roadmap sets three milestones: $4 million through organic growth, $9 million through one acquisition and $15 million through the development of IQSTEL Digital.

That growth builds on what is already in place. Digital content, fintech, artificial intelligence and cybersecurity reach the market through the same network, whose operator customers serve 2.3 billion end users in 24 countries. Every new service adds profitability on top of relationships already built.

For every partner, that means a proven distribution channel. For shareholders, an expansion funded by the business itself, with a clean capital structure: no convertible notes and no warrants.

▶️ The network was built to grow in volume. Digital services make it grow in value.
