π’ STILL OPERATING AS A CC?
Did you know that a Close Corporation (CC) can be converted into a Private Company (Pty) Ltd?
A CC can be converted into a company through the CIPC conversion process. This allows the business to continue as a company rather than simply starting a completely new business.
π‘ WHY CONSIDER CONVERTING?
A Pty Ltd structure may be more suitable for businesses that are looking to grow, bring in shareholders, formalise their ownership structure or position themselves for future opportunities.
The conversion process involves important documentation and decisions, including the company's Memorandum of Incorporation (MOI), appointment of directors and the members' resolution approving the conversion.
π WHAT IS REQUIRED?
Depending on the circumstances, the CIPC conversion application can require:
βοΈ CoR18.1 conversion application
βοΈ Memorandum of Incorporation (MOI)
βοΈ Resolution/minutes approving the conversion
βοΈ CoR39 for the initial directors
βοΈ Certified identification documents
βοΈ Confirmation that the CC is not in liquidation or business rescue
βοΈ Other forms where changes to the company's information are being made
CIPC also requires the CC's annual returns to be up to date at the time of conversion.
β οΈ IMPORTANT:
Converting a CC to a Pty Ltd is not simply a matter of changing the name.
It is a formal CIPC process, and the ownership structure, directors, MOI and other company information need to be properly dealt with.
